Chief Tax Officer for public multi-billion dollar 4G semiconductor and mobile media wireless communications Company. Responsibilities include: • Ensures proper filing of consolidated federal, state and foreign tax returns and compliance with other tax regulatory requirements.. • Manages ASC 740 global tax provision process including review of the tax balance sheet accounts and FIN 48 policies and procedures. • Company representative before Audit Committee on tax provision and disclosures and before the BOD for all tax matters. • Oversees completion of forms 5471 and related international issues - E&P calculations, subpart F, repatriation, etc. • Strategizes efficient state tax nexus planning for state and local sales/use, income and ad valorem taxes. • Hires and trains internal tax staff and manages outside tax consultants. • Structures all acquisitions, dispositions, reorganizations, formations, etc. – expertise in all entity structuring – Corporations, Partnerships, S Corps, LLC’s and international. • Strategizes efficient state tax nexus planning for state and local sales/use, income and ad valorem taxes. • Represents the company on all audits, appeals, protests, PLR’s and other matters with the relevant tax and\or judicial authorities.
